Onyx Labs FZC LLC ("Onyx Labs", "we", "us" or "our") maintains the onyxlabs.ae website (the "Site"). These Terms of Use ("Terms") govern your access to and use of the Site and set out the general terms that apply across the platforms we operate. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
Using one of our products? Your account, subscription, payments, refunds and use of data on ShipScout are governed by the ShipScout Terms of Use, and on TradeVerify by the TradeVerify Terms of Service. Those product terms apply to that product in addition to these Terms.
About us
Onyx Labs FZC LLC is registered in the Ajman NuVentures Centre Free Zone, Ajman, United Arab Emirates, under licence number 2621916757888. Its office is at 26th Floor, Amber Gem Tower, Sheikh Khalifa Street, Ajman, United Arab Emirates. Onyx Labs operates the Site and the platforms ShipScout (shipscout.ai) and TradeVerify (tradeverify.ai).
Acceptance of these Terms
By accessing or using the Site, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy and Cookie Policy, which form part of these Terms. These Terms are a legally binding agreement between you and Onyx Labs.
If you use the Site on behalf of a company or organisation, you confirm that you have the authority to bind that organisation to these Terms.
Eligibility
To use the Site and our services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts in your jurisdiction
- Not be prohibited from using the services under applicable law
- Provide accurate, truthful and complete information whenever you contact or register with us
- Use the Site and our services for lawful business purposes only
Anyone under the age of 18 must not register as a user of our platforms and must not transact on or use them.
Our products have their own terms
When you create an account, start a trial, buy a plan or order a report on one of our platforms, the terms of that product apply to that use. In summary, and only as a guide:
- ShipScout accounts are single-user, and plans, trials, renewals, fair use, cancellations and refunds are set out in the ShipScout Terms of Use and its Refund and Cancellation Policy.
- TradeVerify accounts are for a single business, and reports, payments, replacements, refunds and quality concerns are set out in the TradeVerify Terms of Service.
Prices, plans and allowances are shown on each product's own website and at checkout.
Use of the Site
You may browse the Site, read its content and contact us for legitimate business purposes. You must not:
- Use the Site or our services for spam, unsolicited outreach or any form of harassment
- Scrape, crawl or programmatically extract content or data, except through interfaces we explicitly provide
- Reverse-engineer, decompile or attempt to extract source code from the Site or our platforms
- Resell, sublicense, republish or redistribute our data, reports or services to third parties
- Use our services or data to build a competing product or service
- Attempt to gain unauthorised access to any part of the Site, our platforms or their underlying systems
- Interfere with or disrupt the integrity or performance of the Site or our services
- Use the Site or our services for any unlawful purpose or in breach of any applicable law or regulation
- Use reports to harass, defame or unlawfully discriminate against any company or person
Information on the Site
The content of the Site describes Onyx Labs and its products and is provided for general information. Figures about our products are those published for those products and may change as the products develop. Nothing on the Site is legal, financial or professional advice, or an offer that binds us until confirmed under the relevant product terms.
Data and reports on our platforms
Our platforms work with licensed trade-data sources and public records. We do not generate or manufacture trade records.
- We make no warranties about the completeness, accuracy, timeliness or fitness for a particular purpose of any data on our platforms
- Records reflect what was available to us when a search ran or a report was generated, and delays, omissions and errors in source records are outside our control
- Reports are decision-support information. They are not a guarantee of any company's future performance, solvency, product quality or legitimacy
- You are solely responsible for verifying information before relying on it, and for your own commercial decisions, contracts and due diligence
Content you submit to a platform, such as saved searches, notes and lists, remains yours. You grant us a limited licence to process and display it solely to provide the service to you.
Intellectual property
The Site and our platforms, including software, algorithms, interfaces, design, report formats, compilations of data, and the names and logos Onyx Labs, ShipScout and TradeVerify, are owned by or licensed to Onyx Labs FZC LLC and protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to view the Site for your own business purposes. You may not reproduce, modify, distribute or create derivative works from our content without our express written consent. All rights not expressly granted are reserved. Feedback or suggestions you send us may be used without restriction or compensation.
Enquiries and forms
The contact, partner and careers forms on the Site do not submit data to our servers. They prepare an email in your own email app, which you choose whether to send. Information in emails you send us is handled under our Privacy Policy. Sending a partner application or a job application does not create a partnership, agency or employment relationship.
Third-party links
The Site may link to third-party websites and services. They are not under our control and we are not responsible for their content, policies or practices. Visiting them is at your own risk and subject to their terms.
Disclaimer of warranties
THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, we disclaim all warranties, including:
- Implied warranties of merchantability, fitness for a particular purpose and non-infringement
- Any guarantee of uninterrupted, error-free or secure access
- Any warranty about the accuracy, completeness or reliability of trade data
- Any guarantee of specific business results or outcomes
Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONYX LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING:
- Loss of profits, revenue or business opportunities
- Loss of data or business interruption
- Damages arising from reliance on data or reports, including losses from transactions with companies you researched
- Any unauthorised access to or alteration of your data
Where you have paid us for a product, our total liability for claims relating to that product is limited as set out in its terms: under the ShipScout Terms of Use, to the amount you paid in the 12 months before the event giving rise to the claim, and under the TradeVerify Terms of Service, to the amount you paid in the 3 months before the claim.
Indemnification
You agree to indemnify, defend and hold harmless Onyx Labs and its officers, directors, employees, contractors and affiliates from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:
- Your use of the Site or our services in breach of these Terms
- Your breach of any applicable law or regulation
- Any content or data you submit
- Your infringement of any third-party rights
- Any misrepresentation made by you
Sanctions and restricted countries
We will not trade with or provide any services to OFAC-sanctioned countries. You may not use our services if you are located in, ordinarily resident in, or acting on behalf of any person or entity in a country or territory subject to sanctions administered by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury, the United Nations, the European Union or the United Arab Emirates, or if you are named on any applicable sanctions or restricted-party list. We may refuse, suspend or reverse any transaction that would breach these restrictions.
Suspension and termination
We may suspend or end your access to the Site or our services immediately, without prior notice or liability, if you breach these Terms, act in a way we reasonably consider harmful to other users, to Onyx Labs or to third parties, or provide false or misleading information. Provisions that by their nature should survive (including intellectual property, disclaimers, indemnification and limitation of liability) survive termination.
Governing law and disputes
The United Arab Emirates is our country of domicile, and the governing law is the local law of the United Arab Emirates. Any purchase, dispute or claim arising out of or in connection with this website shall be governed by and construed in accordance with the laws of the UAE.
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, and the courts of the United Arab Emirates shall have jurisdiction. In the event of any dispute arising from or relating to these Terms or the Site, the parties agree to attempt resolution in this order:
- Negotiation. Contact us and allow 30 days for good-faith negotiation.
- Mediation. If negotiation fails, submit the dispute to non-binding mediation before a mutually agreed mediator.
- Arbitration. If mediation fails, the dispute shall be finally resolved by binding arbitration under rules mutually agreed by the parties, conducted in English. The arbitrator's decision is final and binding.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm. For TradeVerify, its Terms of Service provide that disputes are subject to the exclusive jurisdiction of the courts of Ajman, UAE.
Changes to these Terms
We may update these Terms from time to time. Changes to the Site terms take effect on the day they are posted, and we encourage you to visit this page regularly. Material changes to product terms are communicated to account holders by email or a platform notice at least 14 days before they take effect. Continued use after a change takes effect means you accept the revised Terms.
General
- Entire agreement. These Terms, with the Privacy Policy, the Cookie Policy and any applicable product terms or order form, are the entire agreement between you and Onyx Labs about the Site.
- Severability. If any provision is found unenforceable, it will be modified to the minimum extent needed, and the rest remain in full force.
- Waiver. Our failure to enforce any provision is not a waiver of future enforcement.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
